Terms & Conditions of Sale

These Terms and Conditions ("Terms") apply to all purchases made through corkpopbrothers.com and corkpopbrothers.dk (the "Site"), operated by Cork Pop Brothers ApS ("we", "us", "Cork Pop Brothers").

We sell wine, mostly rare, mature, or collectible, held across several storage locations with differing conditions and lead times. Some of what we sell is delicate. So, in places, are these Terms — please read the parts relevant to you.

0. WHO WE ARE

1. SCOPE AND WHO YOU ARE BUYING AS

1.1 These Terms distinguish between two types of customer: (a) "Consumer" — a private individual buying wholly or mainly for purposes outside their trade, business, or profession. (b) "Business Customer" — a company, sole trader, association, or other entity (or an individual) buying for purposes within a trade, business, or profession.

1.2 At checkout you will be asked to select "Private" or "Professional" pricing and, if Professional, to provide a valid VAT/CVR (or equivalent foreign business registration) number. Your selection determines which part of these Terms applies to your order.

1.3 Your selection is a practical convenience, not a legal switch we fully control. Danish and EU consumer-protection law looks at what you are actually doing (are you buying outside your trade or profession), not at which box you ticked. If an order is in substance a consumer purchase, Sections 8 and 10(a) of these Terms apply regardless of which pricing mode was selected.

2. PRODUCTS, PRICING AND AVAILABILITY

2.1 We sell from limited, often single-lot inventory. Vintages, formats, and case configurations shown on the Site reflect what we physically hold at the time; availability can change quickly and is not guaranteed until your order is confirmed under Section 4.

2.2 All prices are shown in DKK or EUR, as selected on the Site. Prices displayed in "Private" mode include Danish VAT calculated under the applicable scheme (standard-rated or the EU margin scheme for second-hand goods, as relevant to the specific bottle). Prices displayed in "Professional" mode show the VAT treatment and amount separately, so the VAT charge relevant to your accounting is clear before you order.

2.3 Shipping costs are calculated at checkout based on delivery method and destination and are shown, itemised, before you place your order.

2.4 Manifest errors. Despite our care, prices, descriptions, or stock levels shown on the Site may occasionally contain a manifest error (for example, a mistyped price, a duplicated listing, or a bottle shown as available that has in fact already been sold or damaged in storage). Publication of a wine on the Site is an invitation for you to make an offer to buy it, not an offer by us to sell it. No binding agreement of sale is formed until we send you a separate, explicit Order Confirmation as described in Section 4. Where we discover a manifest error before sending an Order Confirmation, we will cancel the affected order line without delay and refund in full any amount already paid for it; we will not proceed to ship at the erroneous price or description.

3. PLACING AN ORDER

3.1 To order, add wine to your cart and complete checkout, including delivery method and payment reference details.

3.2 Immediately after you submit your order, you will receive an automated Receipt Email ("Bestillingsbekræftelse") confirming we have received your order request. This is a receipt only. It is not an acceptance of your offer and does not create a binding contract of sale.

3.3 Email verification. To make sure we have a working means of contacting you, the Receipt Email asks you to verify your email address (for example, by following a link). Your bottles are reserved immediately on submission of your order (Section 4.1), before this step — but we will not send the Order Confirmation, and no binding contract is formed, until your email address has been verified.

3.4 A binding contract of sale is formed only when we send you a separate Order Confirmation ("Ordrebekræftelse"), issued once your email is verified and we have checked the order against current stock, pricing, and (for Business Customers) any credit terms. The Receipt Email and the Order Confirmation are clearly labelled as such, both on the Site and in the emails you receive, so you can tell them apart.

3.5 Until the Order Confirmation is sent, we may decline or amend an order — most commonly because of a manifest pricing or stock error (Section 2.4), an unverified email address or unresolved age-verification requirement (Section 7), or an inability to ship to your chosen destination (Section 6). We will tell you promptly if this happens.

4. STOCK RESERVATION

4.1 The specific bottles or cases in your order are reserved for you and removed from general availability immediately on submission of your order, ahead of email verification and Order Confirmation (Section 3).

4.2 The reservation holds for 3 business days from the time of your order. If we have not received your payment in full within that window, the order is cancelled and the stock reservation is released automatically. You are welcome to reorder, subject to availability at that time.

4.3 If you need more time to complete your bank transfer, tell us in writing before the reservation expires and we will extend it at our discretion.

4.4 We may also release a reservation manually before it would otherwise expire — for example at your request, or where payment information you provided (such as a bank reference) does not match the order.

4.5 Your bottles are not shipped, and title does not pass, until payment has cleared in our account — see Section 5 and, for Business Customers, Section 11.

5. PAYMENT

5.1 We currently accept payment by bank transfer only.
Domestic (Denmark): Reg. 3409, Account 13868204, Danske Bank. International: IBAN DK9030000013868204, BIC/SWIFT DABADKKK.

5.2 Please use the order reference shown on your Order Confirmation as the payment reference, so we can match your payment quickly. Payment is due within the reservation window described in Section 4.

5.3 Business Customers: we may, at our discretion, offer payment terms other than prepayment (e.g. invoicing on credit) on a case-by-case basis; where we do, the specific terms will be stated in the Order Confirmation and prevail over Section 4.2 and this Section 5 to the extent they conflict.

6. DELIVERY, SHIPPING COST AND RISK

6.1 Delivery methods and cost (shown at checkout): Pickup at Cork Pop Brothers' own premises: free. Denmark, delivery to a parcel shop: DKK 80 / EUR 12. Denmark, home delivery: DKK 100 / EUR 13. Elsewhere in the EU: DKK 240 / EUR 33 flat, to a single address (home/parcel-shop distinction not offered outside Denmark). Free shipping on orders above DKK 1,500 / EUR 200 (subtotal, before shipping), all destinations above. Outside the EU: shipping cost is not fixed in advance. We reserve your stock as normal on Order Confirmation (Section 4), but we will contact you separately to agree feasibility, cost, and customs/import responsibilities before dispatch. See Section 6.5.

6.2 Danish customers choose between parcel-shop and home delivery at checkout. This choice is not available for deliveries outside Denmark.

6.3 Lead time. Most bottles ship within a few working days of payment being received. Bottles held in bonded/off-site storage (currently our Crurated holding) can take up to approximately 21 days, because they must be released from bond before they can be dispatched. Your Order Confirmation and order-status page show the expected lead time for your specific bottles.

6.4 Heat-hold policy. Wine is sensitive to heat, vibration, and humidity in transit. As standard practice, we may hold your shipment rather than dispatch it during periods of unusually hot weather along the delivery route, to protect the wine. If you would prefer we ship immediately regardless, you may ask us to do so; in that case, dispatch is at your own risk once handed to the carrier, and we are not responsible for heat-related deterioration in transit.

6.5 Cross-border and non-EU orders. Deliveries outside Denmark may be subject to import duties, excise duties, and taxes payable in the destination country, which are your responsibility as recipient unless we expressly state otherwise in your Order Confirmation. For deliveries to other EU countries, please also note that EU excise-duty rules on cross-border sales of alcohol to private individuals may affect which destinations we can serve, or how such shipments are handled; we will tell you before dispatch if this affects your order.

6.6 Risk of loss or damage in transit passes to you (a) for Consumers, on delivery to you or a carrier you have chosen yourself outside our recommended options; and (b) for Business Customers, on handover to the carrier at our premises. See also Section 11 (retention of title, Business Customers).

6.7 Reservations regarding quantity and pricing. Occasionally, and despite our efforts, the quantity or price confirmed to you may need to be corrected before dispatch (for example, a case found to be incomplete, or a mismatched vintage discovered on physical check before packing). Where this happens, we will contact you before shipping to agree how to proceed — a partial refund, substitution you agree to, or cancellation of the affected part of the order with a full refund of the amount paid for it.

7. AGE VERIFICATION

7.1 Under Danish law, drinks over 6% ABV — which includes virtually everything we sell — may not be sold to persons under 18. By entering the Site, and again by ordering, you confirm you have reached the legal age to purchase alcohol in your own jurisdiction.

7.2 Before browsing the Site, you will be asked to confirm you meet this age requirement. We show 18 as the reference age (the threshold in Denmark), but the legal drinking age that actually applies to you is whichever is higher: 18, or the minimum age for buying alcohol where you are located at the time.

7.3 Our carrier verifies age on delivery. Deliveries may be refused if age cannot be verified.

8. RIGHT OF WITHDRAWAL — CONSUMERS

8.1 If you are a Consumer, you have a 14-day right of withdrawal from the day you (or someone you nominate, other than the carrier) receive the wine, without having to give a reason.

8.2 We are aware that alcoholic beverages can, in narrow circumstances, be exempt from the standard withdrawal right under Danish law (where the price was fixed at the time of purchase and delivery can only take place more than 30 days later). We do not rely on this exemption. We grant the full, standard 14-day right of withdrawal to all Consumer purchases, regardless of the specific wine or storage location involved.

8.3 To withdraw, tell us clearly (email is fine) within the 14-day period. You do not need to use a specific form.

8.4 You must return the wine to us without undue delay, and in any event within 14 days of telling us you are withdrawing, at your own cost, in a condition and packaging suitable for wine (temperature-appropriate, upright, well-protected). We will refund what you paid, including standard delivery cost, within 14 days of receiving the wine back or evidence of its return, using the same payment method you used, unless we agree otherwise.

8.5 We may deduct from your refund any diminished value resulting from handling of the wine beyond what is necessary to establish its nature and condition — for example, damage caused by poor return packaging, or evident temperature abuse.

8.6 Sealed original cases and bottles. Some of our wine is sold in its original sealed case, or with an intact capsule, foil, or provenance seal that is part of what makes it valuable to collectors. You may open outer packaging to inspect the wine, as you would be allowed to in a shop. Breaking an original sealed case, capsule, or provenance seal goes beyond what is necessary to establish the wine's nature and condition, and — because it can materially reduce the wine's value to a collector regardless of the wine itself being undamaged — we treat this as diminished value under Section 8.5. Depending on the specific bottle, this may be deducted in full from your refund. This is a value deduction under Section 8.5, not a removal of your right of withdrawal under Section 8.1.

8.7 The right of withdrawal is separate from, and unaffected by, Section 6.4 (heat-hold policy): if you ask us to ship despite a heat-hold and the wine is damaged as a result, this is treated under Section 6.4 and 8.5, not as a defect claim under Section 10.

8.8 Beyond the 14-day period described in this Section 8, you do not have a further statutory right of withdrawal. We may nonetheless agree, at our sole discretion, to accept a late return or exchange — we aim for happy customers, not just the legal minimum. Doing so in one case does not create a right to the same treatment for that or any other order, and is not a waiver of this Section 8.

9. RIGHT OF WITHDRAWAL — BUSINESS CUSTOMERS

9.1 The statutory right of withdrawal described in Section 8 applies only to Consumers. If you are a Business Customer, no right of withdrawal applies to your order, whether under these Terms or under any statute, and all sales to Business Customers are final on Order Confirmation, subject only to Section 10(b) (business warranty) and Section 6.7.

9.2 We may, at our sole discretion, agree to accept a return from a Business Customer in a specific case. Doing so does not create a right of return for that or any other order, and does not amount to a waiver of this Section 9.

10. WARRANTY AND YOUR RIGHT TO COMPLAIN ABOUT DEFECTS

(a) Consumers

10.1 Your statutory right to complain about defects (reklamationsret) under the Danish Sale of Goods Act applies for 24 months from delivery and cannot be reduced by these Terms. For the first 12 months of that period, a defect that appears is presumed to have existed at delivery, and it is for us to prove otherwise; for the remaining 12 months, the burden shifts to you to show the defect was present at delivery. We do not separately offer a "garanti" (a voluntary manufacturer- or retailer-provided guarantee) alongside this statutory reklamationsret — the 24-month right described here is what applies.

10.2 A defect for wine means, broadly: the bottle received does not match what you ordered (wrong producer, vintage, or format), the bottle is faulty in a way not attributable to the normal, expected evolution of mature wine (cork taint, leakage not disclosed at sale, breakage in transit under our chosen carrier), or the condition materially misrepresents what was described at sale. Natural variation in colour, sediment, ullage, or label condition consistent with the wine's age and provenance, where disclosed at the time of sale, is not a defect.

10.3 To make a complaint, contact us with your order reference and a description (and, ideally, photos) of the issue. We will handle valid complaints by repair, replacement, price reduction, or refund, as appropriate and as Danish law requires.

(b) Business Customers

10.4 For Business Customers, the warranty period is 12 months from delivery for defects that were not reasonably discoverable on prompt inspection, and you must inspect the wine promptly on receipt and notify us of any defect within 7 days of delivery for defects that were reasonably discoverable at that point (for example, breakage, short shipment, or an incorrect item).

10.5 Our liability for a valid claim under this Section 10(b) is limited, at our option, to replacement, credit, or refund of the price paid for the affected bottles. We are not liable for indirect or consequential loss (including loss of profit, loss of business, or reputational loss), and our total liability for any order shall not exceed the price paid for that order. Nothing in this Section 10(b) limits liability that cannot be limited as a matter of Danish law, including liability for gross negligence, wilful default, or personal injury.

11. RETENTION OF TITLE (BUSINESS CUSTOMERS)

11.1 For orders to Business Customers, title to the wine remains with Cork Pop Brothers ApS until we have received payment in full. Risk nonetheless passes to you on handover to the carrier under Section 6.6(b).

11.2 Until title passes, you must not resell, pledge, or otherwise encumber the wine in a way inconsistent with our retained title, and you must store it appropriately. If you resell before title has passed, you do so as our agent and hold the proceeds on trust for us to the extent of the outstanding price.

11.3 If you do not pay in full when due, we may demand the return of any wine to which we retain title under this Section 11. If you do not return it voluntarily, we may enforce this right through the Danish enforcement court (fogedretten) or other competent authority, in addition to, or instead of, any of our other remedies under Section 12.

12. LATE PAYMENT, ASSIGNMENT AND DEBT COLLECTION

12.1 If payment is not received by the due date, interest accrues on the overdue amount at the default rate under Section 5 of the Danish Interest Act (renteloven), without needing to be separately agreed. For Business Customers, we may also charge the fixed statutory compensation fee for recovery costs, and may suspend or cancel outstanding reservations and future orders until overdue amounts are paid.

12.2 We may assign or transfer our claim for payment under an order — including to a debt collection agency or a third party acquiring the debt — without your consent, and may share the personal data reasonably necessary for that purpose (see Section 15). Where you are a Consumer, any debt collection will follow the requirements of the Danish Debt Collection Act (inkassoloven) and good debt collection practice (god inkassoskik), including proper prior notice of the claim.

12.3 Assigning or transferring our claim under Section 12.2 is an alternative, and not a substitute, for our right to reclaim wine under Section 11 (retention of title) where that Section applies; we may pursue either or both, at our discretion.

13. LIMITATION OF LIABILITY (GENERAL)

13.1 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

13.2 Subject to 13.1, and to Sections 8 and 10(a) for Consumers, our liability in connection with an order is limited as set out in Section 10(b) for Business Customers, and otherwise to a full refund of amounts paid for the affected wine.

14. FORCE MAJEURE

14.1 We are not liable for delay or failure to perform caused by events beyond our reasonable control, including carrier disruption, extreme weather affecting safe transport of wine, customs delay, or failure of our storage partners. We will tell you if this affects your order and, where delay is prolonged, either party may cancel the affected order with a full refund of amounts paid for it.

15. DATA PROTECTION

15.1 We process your personal data in compliance with the GDPR and Danish data protection law. A dedicated Privacy Policy will be published on the Site shortly; in the meantime, questions about how we handle your data can be sent to hello@corkpopbrothers.com.

16. INTELLECTUAL PROPERTY

16.1 All content on the Site — including text, wine descriptions, photography, and the Cork Pop Brothers name and logo — belongs to Cork Pop Brothers ApS or its licensors and may not be reproduced without our permission.

17. COMPLAINTS AND DISPUTE RESOLUTION

17.1 Consumers. If you are unhappy with how we have handled a complaint, you may bring it to the Danish Center for Complaint Resolution (Center for Klageløsning) and, where applicable, the Danish Consumer Complaints Board (Forbrugerklagenævnet), or, for cross-border EU purchases, the EU's Online Dispute Resolution platform. This does not affect your right to bring proceedings in court instead.

17.2 Business Customers. Disputes are subject to Section 18(b) below.

18. GOVERNING LAW AND VENUE

(a) Consumers

18.1 These Terms are governed by Danish law and disputes are subject to the jurisdiction of the Danish courts, save that, if you are resident in another EU country, this does not deprive you of the protection of the mandatory consumer-protection rules of your own country of residence, and you may in any event bring proceedings in the courts of your own country of residence, as EU law allows.

(b) Business Customers

18.2 These Terms are governed by Danish law, without regard to conflict-of-law rules, and the Maritime and Commercial High Court (Sø- og Handelsretten) or the competent District Court at our registered office has exclusive jurisdiction over any dispute.

19. CHANGES TO THESE TERMS

19.1 We may update these Terms from time to time. The version in force at the time you place an order governs that order.
